Netcall plc has acquired Jadu, a Leicester-based provider of digital experience platforms, in a deal worth a potential £19.2 million.

The initial consideration is for £15.2m, with a £4m potential earn-out.

Netcall, headquartered in Bedford, is a listed provider of intelligent automation and customer engagement software.

It says the deal expands its presence in UK local government from around a third to a half of local councils, while also supporting international growth via an established US partner channel and customer base.

It also adds complementary digital experience and AI capabilities to its Liberty platform, it says.

Jadu reported recurring revenue of £5.9m in its latest annual results – up 10% – with around 90% of this from cloud services. Its total revenue was £7.4, up 7% while it reached EBITDA breakeven in Q4, having delivered an adjusted EBITDA loss of £300,000 for the year and loss before tax of £700,000.

Described as ‘accessibility-first’, Jadu combines web content management, forms and payments, case management, and AI-enabled multilingual search. It enables compliant, inclusive services for public-sector and higher-education organisations across the UK, North America and Australia, increasing digital adoption.

It serves around 120 customers, including Birmingham City Council, Liverpool City Council, Wasatch County Government (Utah), Carnegie Mellon University (Pennsylvania), and employs over 80 staff. Jadu’s founders will remain with the business, supporting integration and ongoing growth within the Netcall Group.
