Audioboom says it has rejected three offers for the company from separate parties and terminated all takeover talks.

The global podcast company also said this morning that it expects to report record half-year results.

In October Audioboom appointed J Goodwin & Co and Rockefeller Capital as joint financial advisers to carry out a strategic review.

They considered sourcing new investment to fund further acquisitions; undertaking a substantial acquisition or reverse takeover; a sale of either the company’s US or UK businesses; or a complete takeover.

It said recently it had engaged with several interested parties including global media organisations, US and European peer companies and media-focused private equity investment institutions.

This morning it said three parties who had been conducting due diligence had submitted non-binding indicative proposals to make a cash offer for the company.

However, after reporting record trading results for the quarter ended 31st March 2026 in April, it said the level of indicative offers received from these parties “undervalue the company and its prospects”.

“The board has made this assessment notwithstanding the fact that all of the indicative offers were all at a premium to the closing price of 540 pence per share on 2 October 2025 (being the last day of trading immediately prior to the company entering into an offer period),” it stated.

“Accordingly the company has, as at the date of this announcement, now terminated discussions with all of the interested parties.”

It also said the strong start to 2026 has continued into Q2. Audioboom expects to announce record results for the six-month period to 30th June, with revenue increasing to a minimum of $45 million (H1 2025: $35.1m) and adjusted EBITDA profit increasing to a minimum of $3m (H1 2025: $1.8m).
