A US technology giant has agreed a deal to acquire two arms of Spirent Communications plc’s business.

VIAVI Solutions Inc., headquartered in Arizona and listed on the Nasdaq exchange, said it will acquire its high speed ethernet and network security business lines from Keysight Technologies, Inc. for $410m (£323m) base cash consideration and an additional $15m (£12m) contingent cash consideration to be paid at closing.

The acquisition is conditional on regulatory approvals and is expected to close in the second quarter of calendar year 2025, shortly after the close of Keysight’s acquisition of Spirent, which is headquartered in Crawley, Sussex.

The parties said the transaction provides a complementary addition to VIAVI’s ethernet testing platform.

It is expected to enhance VIAVI’s engagement in the growing ethernet, security, AI and digital infrastructure end markets.

Wells Fargo has committed to provide a loan to fund the transaction in full.
